Article 4 — Organization Structure

The corporation will not have members.

Article 5 — Purpose

The corporation is organized for the following purpose or purposes:

The nonprofit corporation is organized exclusively for charitable, educational, and religious purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (or the corresponding provision of any future United States Internal Revenue Law).

Specifically, the corporation’s purposes include, without limitation:

  1. Digital Evangelization and Ecclesiastical Technology: Coordinating the development and dissemination of open-source software, digital standards, and data platforms in support of the Catholic Church’s mission of evangelization and pastoral care.
  2. Collaboration with Church Institutions: Collaborating with the Holy See, Vatican Dicasteries, national and regional Bishops’ Conferences, dioceses, parishes, and other ecclesial institutions in the collection, structuring, and dissemination of ecclesiastical data, including liturgical, canonical, scriptural, sacramental, and historical information.
  3. Technology Ethics and Interoperability: Promoting interoperability, transparency, accessibility, and ethical use of technology consistent with Catholic social teaching, the dignity of the human person, and the common good.
  4. Research and Education: Supporting research, training, education, and community engagement in digital technologies serving the Church’s mission of evangelization, catechesis, and service to the poor and marginalized.
  5. All Lawful Charitable Purposes: Engaging in any and all other lawful activities permitted under Section 501(c)(3) of the Internal Revenue Code that further the Catholic Church’s spiritual and temporal mission.

Supplemental Provisions / Information

A. No Private Inurement: No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth above.

B. Political Activity Prohibition: No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements), any political campaign on behalf of or in opposition to any candidate for public office.

C. Prohibited Activities: Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (i) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, or (ii) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code.

D. Dissolution and Distribution of Assets: Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Specifically, upon dissolution, all assets shall be distributed exclusively to:

  1. The Roman Catholic Church through dioceses, parishes, or other ecclesial entities recognized by the Holy See;
  2. Catholic charitable organizations that qualify under Section 501(c)(3) of the Internal Revenue Code and are aligned with the Church’s mission; or
  3. Other organizations described in Section 501(c)(3) of the Internal Revenue Code that serve purposes consistent with the Catholic faith and this corporation’s mission.
  4. Or shall be distributed to the federal government, or to a state or local government, for a public purpose.

No assets shall be distributed to any private individual. Any such distribution shall be determined by the Board of Directors and approved by a court of competent jurisdiction.
